"Terms of Business" December 1998
Payment
for services All
prices quoted are in pounds sterling GBP.
Payment due for any web site design, update or alteration
will become payable as soon as any page or alteration is completed
and will be invoiced. Payment is strictly within 14 days from
completion, any delay in payment will result in removal of all
pages until payment is received.
Payment due for web site hosting, including virtual domain
accounts, will be invoiced 14 days prior to the start of the
hosting period. If payment is not received by start date of the
due period, web space will not be available. Hosting accounts
associated with invoices that are not settled by the required
invoice date will be automatically deleted. It is the
responsability of the client to make sure they have taken adequate
steps to back-up their web site and any associated files stored
on the web server.
Payment for
marketing services will be invoiced in advance of the
marketing period.
Invoices for
advertising are e-mailed monthly at the start of every
month. Payment is strictly 14 days.
Hosting Minimum
hosting period for accounts with private FTP access: Six months
at current rate. Payment is for setting up and maintenance of
account and is non-refundable. Domain names registered for our
'Quality Business Web Hosting' packages are not just domain forwarding
services and as such are subject to governing body domain name
registration charges as follows (2003): Nominet (.UK) domain name fees,
currently £80 + VAT (UK Value Added Tax). Total £94
for two years, billed by Nominet. Network Solutions (.com) fees
$70 USD billed by Network Solutions, USA.
Domain
Name & E-mail Forwarding
No domain name
will be registered and secured until payment is received at current
charges. (Domains
registered under our 'Quality Business Web Hosting' packages
are subject to additional domain name registration charges, see
above under hosting)
Age The client certifies that he or she is 18 years of age
or over.
E-mail accounts Free e-mail accounts supplied by NNH may be
subject to removal without notice.
All e-mail accounts supplied by NNH should correctly identify
the sender; users may not alter the attribution of origin in
electronic mail messages or postings. Users may not utilise NNH's
e-mail accounts to perform, or in any way be involved in mass-mailing
or "spamming" of any kind.
Security Users must not attempt to undermine the security
or integrity of computing systems or networks associated with
NNH and must not attempt to gain unauthorised access.
Lawful Purpose Clients may only use NNH's web space for lawful purposes.
Transmission of any material in violation of any International
or National regulation is prohibited. This includes, but is not
limited to copyrighted material, material legally judged to be
threatening or obscene, or material protected by trade secrets.
We expressly forbid anyone from using our services for the propagation,
distribution, housing, processing, storing, or otherwise handling
in any way lewd, obscene, or pornographic material, or any other
material which we deem to be objectionable, including, but not
limited to, pornography, satanic materials, and any and all materials
of an adult nature. The designation of any materials as such
described above is left entirely to the discretion of management.
Limited Liability 1. Client expressly agrees that use
of NNH web content services is at Client's sole risk. We do not
guarantee that any service will not be interrupted or error free;
nor do we make any warranty as to the results that may be obtained
from the use of the services or as to the accuracy, reliability,
availability or content of any information service or merchandise
contained in or provided through the services.
2. Under no circumstances, including negligence,
shall NNH, its agents or any one else involved in creating, producing
or distributing our services be liable for any direct, indirect,
incidental, special or consequential damages or losses that result
from the use of or inability to use our services; or that results
from mistakes, omissions, interruptions (downtime), deletion
of files, errors, defects, delays in operation, or transmission
or any failure of performance, whether or not limited to acts
of God, communication failure, theft, destruction or unauthorised
access to our records, systems, programs or services.
Indemnification Client agrees that it shall defend, indemnify,
save and hold NNH harmless from any and all demands, liabilities,
losses, costs and claims, including reasonable solicitors' fees,
("Liabilities") asserted against NNH, its agents, or
its customers, that may arise or result from any service provided
or performed or agreed to be performed or any product sold by
the Client, its agents, employees or assigns. The client agrees
to defend, indemnify and hold harmless NNH against Liabilities
arising out of (i) any injury to person or property caused by
any products sold or otherwise distributed in connection with
NNH's Services; (ii) any material supplied by the client infringing
or allegedly infringing on the proprietary rights of a third
party; (iii) copyright infringement and (iv) any defective product
which the client sold on NNH's web space or on any web space
sold or supplied to the client by NNH
Value Added Reselling Client may not at any time attempt to resell
or provide access to any web space in there use, by any third
party without first consulting NNH.
Client may not at any time under any circumstances resell, provide
access to or use any, scripts installed on the web server for
use by a third party (web sites not hosted at NNH).
NNH
may terminate service under this Agreement at any time, without
penalty, if the Client fails to comply with the terms of this
Agreement.
